Export & Agency Finance –Senior Vice President

We provide clients with dynamic information, tools, and APIs to effectively manage their portfolios, financial positions, working capital and supply chains. One of key divisions of TTS is the Export & Agency (“EAF”) finance team.

EAF arranges short, medium and long-term structured financings with the support of Official Agencies (including export credit agencies (“ECAs”), development finance institutions (“DFIs”) and multilateral development banks (“MDBs”) to Citi’s Banking and Commercial Banking client base. EAF operates as a global platform which has the ability to structure, arrange, underwrite, syndicate and lend under bespoke debt financings that defease risk through credit and political risk support from Official Agencies and/or access their funding, lending or interest support programs.

EAF is implementing a growth plan with a view to significantly increasing the number of loans that it originates and books each year. In order to support in the ramp up of activities and the increase in throughput across the platform, EAF intends to establish an Execution Control team which will form part of the front office team and will work alongside transactors to support in all aspects of loan negotiations and deal closing formalities.

Key Responsibilities

The selected candidate should have:

  • Strong Management skills, experience in an Inhouse role preferred.

  • Draft and manage document templates (term sheets, mandate letters, NDAs).

  • Cooperate with the EAF team to create/structure facilities.

  • Oversee the appointment of external legal counsel for each transaction.

  • Participate directly in loan and mandate negotiations alongside transactors and external legal counsel.

  • Ensure adherence to Citi’s policies and procedures, driving a consistency of approach globally.

  • Act as the interface for the EAF team with Citi’s in-house legal team.

  • Support in the completion of deal closing checklists and provide sign-off for each transaction.

  • Provide support in review of Official Agency guarantees and insurance policies in line with regulatory requirements.

  • Provide contractual guidance and transactional support as necessary from within the front office environment.

Knowledge / Experience

  • Experience of negotiating transactions in India.

  • Legal qualification (at least 10+ years post-qualification experience) with significant track-record in structuring and execution of loans.

  • Knowledge of procedures and practices of export credit agencies and ability to execute export finance transactions and communicate with Strong legal and commercial acumen, and strong negotiation skills.

  • Strong management skills with the ability to manage a small team as an integral part of the global EAF platform.

Skills and Qualifications

  • Membership of local Bar/ Lawyers Association and Bar license in good standing to practice law.

  • Comprehensive knowledge of international, multi-jurisdictional laws and practices.

  • Excellent commercial, written, negotiation, problem solving and analytical skills.

  • Strong management skills, with experience in managing direct report(s) (experience in an in-house legal role preferred)
